Bassotto Terms of Service

Last updated: 2026-10-25

1. Who we are and what you accept

The Bassotto service (the "Service") is provided by GRADIENTLABS S.R.L., Via Candia 350F, 60131 Ancona (AN), Italy, VAT IT03002060428, REA [REA], share capital [CAPITAL] ("we"). To use the Service you accept these terms. The Privacy Policy explains how we process data: it is information, not consent. If you use the Service on behalf of an organisation, you confirm you can bind it.

2. The Service

Bassotto is an AI assistant that answers, remembers, drafts and, with your authorisation, takes actions on your behalf (emails, events, bookings, web tasks). During the invite-only phase the Service may have interruptions or usage limits, shown in the app.

AI can make mistakes. Check answers and drafts before relying on them for important (legal, medical, financial) decisions.

3. Account

You must be at least 18. Keep your credentials confidential and report unauthorised access to security@bassotto.ai immediately. You are responsible for activity on your account unless it results from our breach.

4. Your content and the licence you grant us

Content you upload, write or connect (messages, emails, documents, memory) remains yours or its respective owners': these terms transfer no rights in it to us.

You grant us only a non-exclusive, limited, royalty-free, revocable, non-transferable licence to process that content solely to provide the Service to you, including through the providers listed in the privacy policy. The licence ends when you delete the content or close your account. After closure we keep only copies required by law and rotating backups, deleted within [N] days; these copies are not used for any other purpose.

We do not take a perpetual or irrevocable licence to your data, we do not sell it, we do not use it for advertising and we do not use it to train AI models.

You confirm you may lawfully use the content you connect, including content about other people.

5. Actions on your behalf

5.1 Approval. The Service prepares actions towards third parties and carries them out as follows:

5.2 Instruction. By approving an action, or creating a rule, you instruct us to carry it out in your name through your accounts. The contract with the third party (airline, hotel, recipient) is between you and that party, on its terms [check with counsel GradientLabs' role in bookings made through Duffel].

5.3 Payments. Payments require your confirmation and, where applicable, strong customer authentication with your bank. The card security code (CVV) is never saved. We are not a payment institution and do not hold funds for you.

5.4 Transparency towards third parties. Messages the Service sends to third parties state that they were written by an AI assistant on your behalf (AI Act art. 50). You must not remove or hide this statement.

5.5 Log. We keep a log of actions, approvals and rules, which you can consult.

6. Prohibited uses

You may not use the Service to: break the law or infringe others' rights; send spam or unsolicited bulk communications; impersonate others; harass, defraud or phish; access systems without authorisation or circumvent security measures (including through the remote browser); generate illegal content; make automated decisions with legal effects on others without human oversight; resell the Service without a written agreement.

For a serious breach or a concrete security risk we may suspend the account, telling you why unless the law forbids it; you can contest the suspension at support@gradientlabs.it.

7. Third-party services

The Service connects to third-party services (Google, Telegram, Slack, Notion, airlines…), governed by their own terms. We are not responsible for their outages or policy changes, without prejudice to your mandatory rights against us for the part of the Service we provide. Our use of Google data complies with the Google API Services User Data Policy, including the Limited Use requirements.

8. Prices, trial, renewal

Plans, prices, trial length and extra credits are shown on the pricing page [link] and summarised before payment. A free trial, where offered, becomes a paid subscription when it ends: we remind you at least 3 days before and you can cancel until the last day. Subscriptions renew automatically until cancelled; you can cancel at any time, effective at the end of the paid period. We give at least 30 days' notice of price increases and you can cancel before they apply. Extra credits are bought only with your confirmation; no automatic top-up without your consent.

Purchases through the App Store are also subject to Apple's terms, including refunds.

9. Right of withdrawal (consumers)

You have 14 days from the conclusion of the contract to withdraw without giving a reason, by sending support@gradientlabs.it a clear statement or the model withdrawal form [attach the model form, Consumer Code Annex I.B]. We refund you within 14 days using the same payment method.

If you expressly ask to start using the paid service during the withdrawal period [separate checkbox at checkout], on withdrawal you pay only for the part of the service provided until then. [check with counsel how this interacts with the free trial and annual plans.]

10. Intellectual property and feedback

The Service's software, brand and materials belong to us or our licensors. We grant you a personal, non-exclusive, non-transferable licence to use them under these terms. We may use product suggestions you send us to improve the Service; this never covers your content or personal data.

11. Availability and changes to the Service

We do our best to keep the Service available and secure but do not guarantee it is error-free or uninterrupted. We may change the Service for valid reasons (security, legal compliance, technical evolution, changes by providers) at no extra cost to you. If a change negatively and more than minimally affects your use, we give 30 days' notice and you may terminate with a refund of any prepaid, unused period.

12. Liability

12.1 We are liable for damage caused by our wilful misconduct or gross negligence, for personal injury, and wherever the law does not allow limitation. Consumers keep their remedies for a missing or non-conforming digital service (Consumer Code arts. 135-octies ff.).

12.2 Towards business users, otherwise and to the extent permitted by law, our total liability is limited to the amount paid in the 12 months before the event [consider a floor, e.g. €100].

12.3 Service errors. If an action is carried out differently from how it was shown to you or how you approved it, or the preview was wrong or misleading, we help you fix it and are liable under the law and our refund policy [define the policy and professional/cyber liability insurance]. We are not liable for the consequences of an action carried out exactly as you approved it on the basis of a correct preview.

13. Term and closure

You can close your account at any time [ROADMAP: from settings; until then by writing to support@gradientlabs.it]. On closure we delete your data as described in the privacy policy; you can ask for a copy first.

14. Governing law, jurisdiction and disputes

Italian law applies, without prejudice to the mandatory rights of consumers in their country of residence. For consumers, the courts of the consumer's place of residence or domicile have jurisdiction. For business users, the courts of [CITY] have exclusive jurisdiction. [ADR information under Consumer Code art. 141-sexies: state whether we use an ADR body.]
